Welcome to Simplicity Advance (“Simplicity,” “we,” “our,” or “us”). By accessing or using our website, application portal, or any services offered by Simplicity, you (“Merchant,” “you,” or “your”) agree to the following Terms of Service. If you do not agree, do not use our services.
1. Nature of Relationship
Simplicity Advance provides Merchant Cash Advances (MCAs). By applying, you acknowledge that:
- This is not a loan or extension of credit.
- You are selling a specified percentage of your future receivables to Simplicity in exchange for an upfront payment (“Purchased Amount”).
- There is no interest rate, no fixed repayment schedule, and no personal liability for repayment except as explicitly provided in a signed Performance Guaranty.
- Repayments occur automatically as a set percentage of your business’s receivables, designed to average approximately $150 per week over a 12‑week period, or until the full Purchased Amount has been delivered to Simplicity.
This sale of receivables is absolute and irrevocable, subject only to the terms of your executed Merchant Agreement.
2. Eligibility
- Be at least 18 years old.
- Own or operate a legally registered business entity in good standing.
- Have authority to enter into binding contracts on behalf of your business.
- Provide accurate and truthful business, banking, and financial information.
Providing false or misleading information constitutes material breach and may result in termination or enforcement actions.
3. Use of the Simplicity Portal
- View funding details and payment performance;
- Manage or update bank and contact information;
- Review agreements and transaction history;
- Request renewals or reconciliations.
You agree to use the portal for legitimate business purposes only and maintain the confidentiality of your login credentials.
4. No Loan, No Debt, No Interest
- This arrangement is a commercial transaction, not a loan.
- You have no repayment obligation independent of your business’s sales performance.
- Payments adjust with your receivables — if sales slow, payment percentages readjust.
- There is no compounding interest, no amortization, and no usury applicable.
5. No Collateral Required
Simplicity does not require personal or real property collateral. We may request a Performance Guaranty to ensure good‑faith reporting, not repayment of the Purchased Amount.
6. Fees and Transparency
All fees, holdbacks, and terms are fully disclosed in your Merchant Agreement before funding. There are no hidden fees or surprise costs. You authorize Simplicity to debit your designated business account for agreed remittance amounts, as outlined in your signed contract.
7. Default and Remedies
Default may occur if you provide false information, divert receivables, change bank accounts without notice, or interfere with remittances. In case of default, we may pursue civil remedies, including enforcing any Performance Guaranty or recovering receivables wrongfully diverted.
8. Termination
Either party may terminate access to the portal at any time; termination does not cancel any active Merchant Agreement or obligations under it.
9. Limitation of Liability
We are not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the total amount of fees paid to Simplicity for the applicable service period.
10. Indemnification
You agree to indemnify, defend, and hold harmless Simplicity from claims arising from your breach of these Terms, misuse of the portal, or violation of laws or third‑party rights.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Louisiana (or your principal business jurisdiction if specified). Disputes are resolved exclusively in the state or federal courts located in Jefferson Parish, Louisiana.
12. Amendments
We may modify these Terms from time to time. Updates become effective upon posting or written notice. Continued use constitutes acceptance.
13. Entire Agreement
These Terms and any executed MCA Agreement represent the entire understanding and supersede prior communications.

Funding Cancellation & Refund Policy

This policy explains the terms regarding cancellations, funding reversals, and refunds for our merchant cash advance services.
1. Nature of Transaction
MCAs are purchases of future receivables, not loans. Transactions are final and non‑refundable once funds are disbursed.
2. Cancellation Before Funding
You may cancel before funds are released by emailing info@simplicitymca.com. Once funds are sent, the transaction is complete and binding.
3. No Refunds After Funding
Purchased receivables become Simplicity’s property; refunds or chargebacks are not permitted. Verified administrative errors will be corrected.
4. Adjustments and Reconciliation
If you experience a slowdown, you may request a temporary adjustment or reconciliation of the remittance percentage per your agreement.
5. Disputed Transactions

6. Non‑Refundable Fees
- Application or underwriting fees (if applicable)
- Bank transfer or ACH processing fees
- Administrative setup or service charges
- Legal, filing, or UCC‑related fees
- Third‑party verification or network costs
7. Termination of Account Access
Closing the portal account does not cancel or modify active agreements or remittance obligations.
8. Governing Law
Governed by the laws of the State of Louisiana. Venue lies in Jefferson Parish, Louisiana.
